Samba Group LLC ("the Company") operates a neutral, for-profit marketplace platform that facilitates connections between independent service professionals ("Providers") and customers ("Customers") for lawful trade and professional services only. This document serves as the Company's unified regulatory disclosure instrument for audit optics, owner liability insulation, and risk mitigation transparency.

1. Marketplace Neutrality & Role Disclosure

The Platform functions strictly as a technology marketplace intermediary. The Company is not: an employer, contractor sponsor, legal advisor, immigration authority, payment dispute mediator for off-app transactions, or service outcome guarantor. The Company does not verify or collect immigration status and does not condition marketplace access on immigration attributes when services themselves are lawful.

2. Contractor Independence Disclosure

All Providers operate as independent contractors and maintain full autonomy over: pricing, scheduling, tools, service execution methods, tax reporting, and accepted payment methods (including off-Platform payments). The Company does not supervise, control, or direct workmanship execution or wage agreements between users.

3. Verification Badge & Credential Disclaimer

Verification badges reflect validation of uploaded credentials only, including identity, licensing, insurance, or certifications where voluntarily submitted by Providers. Badges are not endorsements, guarantees, warranties, safety certifications, or liability transfers. The Company assumes no liability for service outcomes or jobsite safety conditions.

4. KYB, Payout, and Payment Partner Compliance Notice

For Providers receiving Platform-facilitated payouts, the Company performs compliance operations including: identity verification, sanctions screening (OFAC and equivalent lists), AML transaction pattern monitoring, duplicate account detection using hashed identifiers (email, phone, IP hash), and payout velocity throttling. The Company may hold, throttle, delay, reverse, or permanently restrict payouts at its sole discretion when compliance or fraud risk signals trigger. Customers may transact off-Platform (cash, check, PayPal, etc.), but the Company does not mediate disputes for off-app payments.

5. AML & Sanctions Compliance Disclosure

The Company maintains monitoring and enforcement processes to prevent use of the Platform for: money laundering, sanctions evasion, financial fraud rings, identity abuse, referral gaming, bot/VPN masking misuse, trafficking, smuggling, or coordinated criminal service networks. Suspicious activity is logged immutably and may result in account restrictions or removal, listing suspension, or compliance holds.

6. Fraud Detection & Referral Abuse Governance

The Company may employ automated fraud detection systems that include: bot detection, VPN/IP risk scoring, hashed duplicate detection (email, phone, IP hash), payout velocity limits, listing anomaly flags, referral abuse detection, and moderation queue triage. Referral rewards are issued for legitimate incentive purposes only and may be revoked upon detection of coordinated abuse.

7. Immigration Non-Cooperation Disclosure

The Platform does not collect, validate, or verify immigration or citizenship status. The Company does not partner with, contract for, or voluntarily cooperate with immigration enforcement agencies. Data is disclosed only when legally compelled through valid judicial process and is never shared voluntarily for immigration enforcement targeting.

8. Regulatory Transparency Log

The Company maintains internal logs of enforcement actions, compliance holds, payout restrictions, referral clawbacks, and account terminations for audit readiness, regulatory inquiry response, and legal defense optics. These logs are immutable and may be retained indefinitely.

9. No Warranty & Liability Limitation

The Platform is provided "as is" without warranty of any kind. The Company assumes no liability for: service outcomes, off-Platform payment disputes, workmanship, safety, Provider conduct, Customer conduct, or physical jobsite conditions. Total Company liability to any user shall not exceed $100 USD.

10. Binding Arbitration & Class Waiver

All disputes between users and the Company are subject to binding individual arbitration in the United States. Class action, collective action, and coordinated litigation are waived.

11. Modifications

The Company reserves the right to modify this document at any time. Continued use of the Platform constitutes acceptance of updated terms.
